Commitments
The Turkish Competition Board (the “Board”) revised the commitments imposed to Ferrero within the scope of the competitive problems in the nut market in Türkiye, temporarily lowering its 2025 nut purchase obligation from 45,000 to 30,000 tons due to reduced yield and quality.
Abuse of Dominance
The Board has determined that Novonesis abused its dominant position in the asparaginase, fungal alpha amylase, and glucoamylase enzyme markets through best price guarantee clauses, exclusive agreements, and loyalty-inducing discount systems, and imposed an administrative fine of TRY 284.5 million.
Investigations
The Board has launched an investigation into Muya Poliüretan Kauçuk for allegedly fixing resale prices of its authorized dealers and restricting their passive sales.

Rekabet Kurulu (“Kurul”), Türkiye’deki fındık pazarına ilişkin rekabet sorunlarına yönelik endişeler kapsamında Ferrero’ya getirilen taahhütleri revize ederek, rekolte düşüşü ve kalite sorunları nedeniyle 2025 yılına mahsus olmak üzere Ferrero’nun fındık alımı yapma yükümlülüğünü 45.000 tondan 30.000 tona düşürdü.
Hakim Durumun Kötüye Kullanılması
Kurul, Novonesis’in asparaginaz, fungal alfa amilaz ve glukoamilaz enzim pazarlarında münhasırlık sözleşmeleri, en iyi fiyat garantisi koşulu ve sadakat yaratıcı nitelikteki indirim sistemi aracılığıyla hakim durumunu kötüye kullandığını tespit ederek 284,5 milyon TL tutarında idari para cezası uyguladı.

Ayrıca karar, Fransa’da eşik altı bir birleşmeye Avrupa Birliği’nin İşleyişi Hakkında Antlaşma’nın 102. maddesinin uygulanması açısından bir ilk teşkil etti.
